These Terms of Service ("Terms") are a binding legal agreement between you ("you" or "your") and Tacit ("Tacit", "we", "us", or "our") governing your access to and use of the Tacit mobile application and related services (collectively, the "App" or "Service"). Tacit is an AI-assisted dating service currently available only in the United States.
PLEASE READ THESE TERMS CAREFULLY. They include important provisions that affect your legal rights, including a binding arbitration agreement and a class action waiver in Section 22, which require most disputes to be resolved on an individual basis through arbitration. You may opt out of arbitration within 30 days as described in that section.
By creating an account, tapping "agree," or otherwise accessing or using the App, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the App.
These Terms, together with our Privacy Policy and any additional terms we present to you in the App, constitute the entire agreement between you and Tacit regarding the App. If you do not understand any part of these Terms, do not use the App.
2. Definitions
"Account" means the user account you create to access the App.
"Content" means any text, photos, messages, and other material available in or through the App.
"User Content" means Content that you submit, including your photos, profile text, interview responses, and messages.
"Private Profile" means the AI-generated representation of your personality, values, and preferences created from your interview responses and profile data.
"Match" means another user with whom you have been connected through the App.
3. Eligibility
To use the App, you represent and warrant that you:
are at least 18 years old;
are located in the United States and can provide a valid U.S. mobile phone number;
have the legal capacity to enter into a binding contract;
are not barred from using the App under applicable law and have not been previously banned by us; and
will comply with these Terms and all applicable laws.
The App is not intended for anyone under 18, and use by minors is strictly prohibited.
4. Your account and security
You sign in using your mobile phone number and a one-time SMS verification code. You are responsible for maintaining access to your phone number and for all activity that occurs under your Account.
You agree to provide accurate, current, and complete information and to keep your profile truthful. Impersonating another person, misstating your age, or creating an Account for anyone other than yourself is prohibited.
You may maintain only one Account at a time unless we expressly permit otherwise.
Notify us promptly at support@tacitmore.com if you believe your Account has been compromised.
5. License to use the App
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App on a device you own or control, solely for your own personal, non-commercial use. We reserve all rights not expressly granted.
You may not, and may not permit anyone else to:
copy, modify, adapt, translate, or create derivative works of the App;
reverse engineer, decompile, or disassemble the App, or attempt to derive its source code, except to the extent permitted by law;
rent, lease, lend, sell, sublicense, or otherwise commercialize the App;
remove or alter any proprietary notices; or
use the App in any way not expressly permitted by these Terms.
6. The Service and AI features
Tacit is an AI-assisted dating service. Core features include a conversational AI interview, the generation of your Private Profile, AI-computed compatibility insights and match points, matching with other users, and messaging (which may include in-chat AI assistance). We may add, change, or remove features at any time.
7. AI features — disclaimers
You acknowledge and agree that:
Tacit uses artificial intelligence, including third-party AI models, to interview you, generate your Private Profile, and produce compatibility insights, match suggestions, and in-chat assistance.
AI output may be inaccurate, incomplete, biased, or unexpected. Matches and compatibility insights are suggestions only and are not guarantees of compatibility, intentions, behavior, identity, or outcomes.
AI-generated content is not professional advice of any kind (including relationship, psychological, medical, legal, or financial advice), and you should not rely on it as such.
You are solely responsible for your decisions and your interactions with other users.
8. Fees
The App is currently provided free of charge. We reserve the right to introduce paid features or subscriptions in the future. If we do, we will present the applicable pricing and terms before you incur any charge, and your purchases will be processed through the Apple App Store subject to Apple's terms.
9. User Content and the rights you grant
You retain ownership of your User Content. By submitting User Content, you grant Tacit a worldwide, non-exclusive, royalty-free, sublicensable (to our Service Providers), and transferable license to host, store, reproduce, modify (for formatting and display), publish, display, and transmit your User Content solely to operate, provide, and improve the App — including processing it through our AI and Service Providers (such as Google's Gemini API) to generate your Private Profile, compute matches, enable messaging, and power App features.
You represent and warrant that:
you own or have the necessary rights to your User Content;
your User Content, and our use of it as permitted here, does not violate these Terms, any law, or the rights of any third party (including privacy, publicity, and intellectual property rights); and
your photos depict you and you have consent from any other identifiable person shown.
This license ends when you delete the relevant User Content or your Account, except for (a) copies retained as described in our Privacy Policy, and (b) User Content others have already saved or re-shared.
10. Acceptable use and prohibited conduct
Tacit is built on respect, and there is zero tolerance for objectionable content or abusive behavior. You agree that you will not, and will not attempt to or assist others to:
harass, threaten, bully, stalk, defame, or intimidate any person;
post or transmit content that is hateful, discriminatory, sexually explicit, pornographic, obscene, violent, graphic, or otherwise objectionable;
post or transmit content that promotes self-harm, illegal activity, or violence;
solicit money, run scams, "catfish," phish, or engage in any fraudulent or deceptive activity;
advertise, promote, or solicit for commercial purposes, including spam or chain communications;
impersonate any person or entity, or misrepresent your identity, age, or affiliation;
post content that is illegal or that infringes or misappropriates any intellectual property, privacy, or publicity right;
collect, store, or share another user's information or content without authorization, including screenshots shared to harass or expose;
use the App if you are under 18 or on behalf of any person under 18;
use bots, scrapers, crawlers, or any automated means to access, collect data from, or interact with the App;
introduce malware or any harmful code, or interfere with or disrupt the App or its servers or networks;
circumvent, disable, or attempt to defeat any security or access-control feature, or any block or ban;
reverse engineer or attempt to access the App's source code except as permitted by law; or
use the App in violation of any applicable law or these Terms.
11. Content moderation, reporting, and enforcement
You can report objectionable content or users and block any user directly within the App.
We may, but are not obligated to, review, monitor, or moderate Content.
We may remove or restrict any Content and suspend or permanently ban any user who violates these Terms or who we determine, in our sole discretion, poses a risk to the community — with or without prior notice.
We aim to act on reports of objectionable content and abusive users in a timely manner.
We may cooperate with law enforcement and disclose information as described in our Privacy Policy.
12. Safety and interactions with other users
We do not conduct criminal background checks or verify the identity of users.
You are solely responsible for your interactions with other people you meet through the App. Exercise caution and good judgment, especially when communicating with someone new or meeting in person. Meet in public, tell a friend, and do not send money to anyone.
You interact with other users at your own risk. We are not responsible for the conduct of any user, whether online or offline, and we expressly disclaim liability for any harm resulting from such interactions to the fullest extent permitted by law (see Sections 19–20).
13. Our intellectual property
The App and all associated software, designs, text, graphics, logos, the "Tacit" name and brand, and all other Content we provide (excluding User Content) are owned by Tacit or our licensors and are protected by intellectual property laws. Except for the limited license in Section 5, nothing in these Terms grants you any right, title, or interest in the App or our intellectual property.
14. Feedback
If you send us suggestions, ideas, or other feedback about the App, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback for any purpose, without any obligation or compensation to you.
15. Copyright and DMCA policy
We respect intellectual property rights and respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act ("DMCA"). If you believe Content in the App infringes your copyright, please send a written notice to our designated agent at support@tacitmore.com that includes:
your physical or electronic signature;
identification of the copyrighted work you claim has been infringed;
identification of the material you claim is infringing and information reasonably sufficient to locate it;
your contact information (name, address, telephone number, and email);
a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
We may remove allegedly infringing material, and we may terminate the Accounts of repeat infringers. If you believe material was removed in error, you may submit a counter-notice with the information required by the DMCA.
16. Third-party services
The App relies on third-party services (including Apple, Google, Supabase, Expo, and our SMS provider). Your use of those services may be subject to their own terms and policies, which we do not control and for which we are not responsible.
17. Privacy
Your use of the App is subject to our Privacy Policy, which explains how we collect, use, and share information. By using the App, you acknowledge the practices described in the Privacy Policy.
18. Termination and suspension
By you. You may stop using the App and delete your Account at any time via Settings → Delete Account.
By us. We may suspend or terminate your access to the App at any time, with or without notice, if you violate these Terms, if we are required to do so by law, if your conduct creates risk or legal exposure for us or other users, or for any other reason in our discretion.
Effect of termination. Upon termination, your license to use the App ends. Provisions that by their nature should survive — including Sections 7, 9 (as to copies retained), 13, 14, 19, 20, 21, 22, 23, and 27 — will survive.
19. Disclaimers
THE APP AND ALL CONTENT AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY MATCHES, AI OUTPUT, OR RESULTS WILL MEET YOUR EXPECTATIONS OR BE ACCURATE OR RELIABLE. WE MAKE NO WARRANTY REGARDING THE CONDUCT OF ANY USER OR THE COMPATIBILITY, IDENTITY, OR INTENTIONS OF ANY MATCH.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
20. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TACIT AND ITS OPERATORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, OR FOR ANY DAMAGES ARISING FROM YOUR INTERACTIONS WITH OTHER USERS (WHETHER ONLINE OR IN PERSON), WHETHER BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
21. Indemnification
You agree to indemnify, defend, and hold harmless Tacit and its operators, officers, employees, and agents from and against any claims, demands, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the App; (b) your User Content; (c) your interactions with other users; (d) your violation of these Terms; or (e) your violation of any law or the rights of any third party.
22. Dispute resolution, arbitration, and class action waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
22.1 Informal resolution first
Before starting any arbitration, you and Tacit agree to try to resolve the dispute informally for at least 60 days. To begin, send a written description of the dispute and your contact information to support@tacitmore.com. Both parties will negotiate in good faith.
22.2 Agreement to arbitrate
If the dispute is not resolved informally, you and Tacit agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App ("Dispute") will be resolved by binding individual arbitration, rather than in court, except as set out below. The Federal Arbitration Act governs the interpretation and enforcement of this Section.
The arbitration will be administered by a established arbitration provider (such as the American Arbitration Association) under its applicable consumer arbitration rules. The arbitrator will have exclusive authority to resolve any Dispute, including the arbitrability of any claim, except that a court decides the enforceability of the class action waiver in Section 22.4. Judgment on the award may be entered in any court of competent jurisdiction.
22.3 Exceptions
Either party may (a) bring an individual claim in small claims court if it qualifies, and (b) seek injunctive or equitable relief in court to protect intellectual property or stop unauthorized access or misuse of the App. These actions are not subject to the arbitration requirement.
22.4 Class action and jury trial waiver
You and Tacit agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding. You and Tacit also waive any right to a jury trial. If this class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court rather than arbitration.
22.5 Your right to opt out of arbitration
You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending an email to support@tacitmore.com with the subject line "Arbitration Opt-Out," stating your intent to opt out and the phone number associated with your Account. If you opt out, the arbitration agreement and class action waiver in this Section will not apply to you, and disputes will be resolved in court as described in Section 23. Opting out does not affect any other provision of these Terms.
22.6 Severability and survival
If any part of this Section (other than the class action waiver, addressed above) is found unenforceable, that part will be severed and the remainder will continue to apply. This Section survives termination of your Account and these Terms.
23. Governing law and venue
These Terms and any Dispute are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws rules, and, where applicable, by the Federal Arbitration Act. To the extent a Dispute is not subject to arbitration and is permitted to proceed in court, you and Tacit agree to the exclusive jurisdiction and venue of the state and federal courts located in Washington, and you consent to personal jurisdiction there.
24. Apple App Store additional terms
If you download the App from the Apple App Store, the following additional terms apply, and in the event of a conflict with the rest of these Terms, these terms control with respect to your use of the App obtained through the App Store:
These Terms are concluded between you and Tacit only, and not with Apple. Apple is not responsible for the App or its content.
Your license to use the App is limited to a non-transferable license to use the App on any Apple-branded device you own or control, as permitted by the App Store's Usage Rules.
Apple has no obligation to furnish any maintenance or support services for the App.
In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
Apple is not responsible for addressing any claims by you or any third party relating to the App, including product liability claims, claims that the App fails to conform to legal or regulatory requirements, and claims under consumer protection or similar laws.
Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party intellectual property infringement claim relating to the App.
You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting," and that you are not listed on any U.S. Government list of prohibited or restricted parties.
Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
25. Export controls and sanctions
You agree to comply with all applicable U.S. export control and sanctions laws. You represent that you are not located in, and are not a national of or controlled by, any country or party subject to U.S. embargoes or restrictions, and that you will not use the App for any prohibited end use.
26. Changes to the Service and to these Terms
Service. We may modify, suspend, or discontinue all or part of the App at any time, with or without notice.
Terms. We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice in the App. Changes are effective when posted unless stated otherwise. Your continued use of the App after changes take effect means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the App and may delete your Account.
27. General provisions
Entire agreement. These Terms and the documents referenced in them are the entire agreement between you and Tacit regarding the App and supersede any prior agreements.
Severability. If any provision is held unenforceable, the remaining provisions will remain in full force, and the unenforceable provision will be modified to the minimum extent necessary.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign or transfer these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.
No third-party beneficiaries. Except for Apple as described in Section 24, these Terms do not create any third-party beneficiary rights.
Force majeure. We are not liable for any delay or failure to perform due to causes beyond our reasonable control.
Notices. We may provide notices to you in the App or to the phone number associated with your Account. You may contact us as described below.
Electronic communications. You consent to receive communications from us electronically, and you agree that electronic communications satisfy any legal requirement that a communication be in writing.
Headings. Section headings are for convenience only and do not affect interpretation.
